Code of Conduct

Acceptance

By confirming a purchase order or entering into a business relationship with TMS Electronics AB, the supplier, contractor, or service provider (collectively “Supplier”) accepts this Code of Conduct and agrees to comply with its requirements. This Code of Conduct is incorporated by reference into all TMS purchase orders and contracts.

This Code of Conduct also applies to all TMS employees, management, and board members.

1. Scope and Applicability

This Code of Conduct applies to all TMS employees, management, and board members, as well as all Suppliers working with TMS Electronics. Where requirements are directed specifically at Suppliers, this is stated explicitly. Acting with integrity is a fundamental condition for working with or for TMS.

Suppliers shall communicate the principles of this Code of Conduct within their own supply chain and shall require their sub-suppliers to comply with equivalent standards.

TMS reserves the right to verify Supplier compliance with this Code of Conduct through audits, self-assessments, or requests for documentation. Suppliers shall cooperate with such verification activities.

2. Legal Compliance and Business Ethics

All parties shall comply with all applicable laws, regulations, customer-specific requirements, and contractual obligations in every country in which they operate. We compete fairly and prohibit anti-competitive practices such as price-fixing, market allocation, or bid-rigging.

Confidential information belonging to TMS, our customers, and partners shall be protected and used only for its intended purpose.

3. Human Rights and Labour Practices

TMS respects internationally recognised human rights and requires the same of its Suppliers. All parties shall prohibit forced labour, child labour, and human trafficking in any form, in line with internationally recognised frameworks such as the ILO Declaration on Fundamental Principles and Rights at Work and applicable legislation governing forced labour and human rights.

All parties shall ensure fair wages, reasonable working hours, and safe working conditions in compliance with applicable law. Freedom of association shall be respected. Harassment, abuse, and unlawful discrimination are prohibited.

Suppliers are expected to conduct due diligence on human rights and labour conditions in their own supply chains, consistent with applicable due diligence legislation and internationally recognised frameworks such as OECD Guidelines for Multinational Enterprises.

4. Environmental Responsibility

All parties shall comply with applicable environmental legislation and work actively to reduce environmental impact, including greenhouse gas emissions, waste, and resource consumption.

Suppliers shall ensure that components and materials supplied to TMS comply with applicable substance restrictions and environmental requirements, including regulations governing chemical substances and hazardous materials (such as REACH and RoHS, as applicable), and shall provide required documentation on request.

Suppliers shall conduct due diligence to avoid sourcing conflict minerals (tin, tantalum, tungsten, gold — 3TG) from conflict-affected and high-risk areas, in accordance with applicable legislation and internationally recognised due diligence frameworks.

We avoid sourcing materials that contribute to illegal deforestation or other significant environmental harm.

5. Quality and Product Integrity

All products and components handled by TMS or supplied to TMS must be genuine, correctly identified, undamaged, and fully traceable to their origin.

Counterfeit, suspect, or fraudulently identified parts are strictly prohibited. All parties shall maintain controls to prevent counterfeit parts from entering the supply chain, in accordance with applicable quality management system requirements.

All applicable customer and regulatory requirements related to quality, airworthiness, and product integrity shall be complied with.

Suppliers shall maintain equivalent quality assurance controls within their operations and shall notify TMS without delay of any known or suspected non-conformities affecting products supplied to TMS.
